How your Ontario corporation can be cancelled involuntarily

Your Ontario corporation may be involuntary dissolved under the Business Corporations Act. Common reasons include:

  • failure to maintain the required number of directors
  • failure to maintain the required 25% of resident Canadian directors
  • conviction of an offence under the Criminal Code of Canada or any federal statute, or an offence under the Provincial Offences Act, and when cancellation is in the public interest
  • any threat to business affairs of the corporation, the power of its directors and affiliates
